Company & Partnership

Our practice in these areas focuses on dissolution disputes between partners and quasi partners, recovery of assets from defaulting and departing directors and others and share sale disputes.

We act for and against companies ranging from SME's to Fortune 500 companies. Counsel have appropriate experience and specialist knowledge to enable them to handle cases of complexity and value at all levels, from corner shops to PLCs and are familiar with the internal workings of most trades, businesses and professional practices, and the accounting systems commonly used in them. We have considerable experience of the special court procedures employed in such cases, such as taking partnership accounts, minority shareholders actions just and equitable winding-up petitions and assets tracing remedies frequently employed.

Many of these cases are presented to us on an urgent basis and we have sufficient capacity to be able to advise upon and obtain immediate remedies, where required and appropriate.

More experienced and specialist members also undertake advice and drafting relating to the terms of professional partnerships and LLPs, and such matters as company securities, company meetings and resolutions, purchase of own shares, share sale agreements and straightforward reductions of capital and schemes of arrangement.

No5 Chambers handles the full spectrum of company law matters and caters to clients from a variety of industry sectors. The set continues to be instructed on behalf of SMEs from across the Midlands, but its client base is expanding to include quoted companies and subsidiaries of international businesses. Many members also undertake advisory work on professional partnerships and LLPs.
